Copperleaf Shareholders Approve Arrangement with IFS

VANCOUVER, BC, Aug. 2, 2024 /CNW/ – Copperleaf Technologies Inc. (TSX: CPLF) (“Copperleaf” or the “Company”) is pleased to announce that its shareholders (the “Shareholders”) have approved the previously announced indirect acquisition by Industrial and Financial Systems, IFS AB (“IFS”) of all of the issued and outstanding common shares in the capital of Copperleaf (the “Shares”), for $12.00 in cash per Share, pursuant to a statutory plan of arrangement (the “Arrangement”) under the Canada Business Corporations Act.

At the special meeting of Shareholders held earlier today (the “Meeting”), the Arrangement was approved by a total of 62,768,604 votes, being approximately 98.74% of the votes cast by Shareholders. To be effective, the Arrangement was required to be approved by at least 662/3% of the votes cast by the Shareholders present virtually or represented by proxy at the Meeting and entitled to vote, voting together as a single class.

Completion of the Arrangement is subject to customary conditions, including court approval, regulatory approval under the Canadian Competition Act, and any other required regulatory approvals. It is anticipated that the Arrangement will be completed in the third quarter of 2024.
